Conditions of Use

General conditions of sale

Our general conditions of sale are considered as known by the buyer. By confirmation of order the buyer accepts all the terms and provisions heretofore set forth and agrees that the delivery of the merchandise described in said order shall be subject to no other terms and conditions whatsoever unless our special and written agreement.

A - Prices
Prices are based on our current pricelist but can be modified anytime without prior notification. Our prices are expressed in Euro, VAT not included and costs of transport not included.

B - Shipment and delivery
In any case, goods are under the liability of the consignee. Delivery is considered as fulfilled when goods have left our factory. Risks and liability are transferred to the consignee as soon as the goods leave our warehouse even when the costs of transport are at our charge. The consignee is supposed to notify any damage or loss to the carrier when receiving the goods. Any invoice under 80 Euros (VAT not included) shall support fee charges of 8 Euros. Free freight is granted for any order of 800 Euros or more (VAT not included) For orders under 800 Euros freight shall be prepaid and invoice to the consignee. All special shipments requested by the buyer will be charged to him.

C - Conditions of payment
Payment shall take place within 30 days after date of invoice unless agreed otherwise. In any case, in the event of late payment, the client shall be obliged to pay a 1,5% interest per month from the due date of the invoice.

D - Guaranty
Our guaranty is limited to the replacement of goods which we consider as faulty. If we consider a complaint to be founded we will only be bound to replace the defective products free of charge and without any compensation for consequential loss or damage under whatever name. Defects caused by normal wear and tear, inappropriate and/or improper use or choice, or insufficient maintenance in accordance with NEC machinery Directives, shall under no circumstances fall under any guaranty.

E - Return
Material may not be returned without prior written permission. Non-catalogue items or special engineered products cannot be returned. For standard items returned, a minimum restocking charge of 25% shall be made, with additional charges as required for repairing items not received in good conditions. Returned items must be freight prepaid, and all transportation costs previously assumed by Nantaise de Poulies will be charged back.

F - Reservation of title
In accordance with law num. 67-563 art. 65 dated 13/07/1967 and modified by law num. 80-335 art. 1 dated 12/07/1980, the ownership of the products shall only be transferred to the client after full payment has been made. Though, in spite of reservation of title, the consignee remains liable of the goods during shipment and delivery.

G - Applicable law
All agreements are exclusively governed by the Trade Court of NANTES. Any lawsuit shall be submitted to the Trade Court of NANTES. Acceptance of delivery entails the acceptance of these conditions notwithstanding any contrary clause. Illustrations and informations are not contractual.
